Terms of service

1. Scope

These terms and conditions apply to all agreements for development and consulting services provided by TBH (CVR: 46152948). By accepting a quote, the client also accepts these terms, unless otherwise agreed in writing.

2. Quotes and Agreement

All quotes are valid for 30 days from the quote date, unless otherwise stated. A binding agreement is only formed upon the client's written acceptance of the quote. Verbal agreements are not binding until confirmed in writing.

3. Payment

Payment is due within 8 days of invoice, unless otherwise agreed. Late payment incurs interest in accordance with Danish law. For larger projects, milestone-based payments may be arranged.

4. Delivery

Delivery timelines are estimates based on project scope. We strive to meet agreed schedules but cannot be held responsible for delays caused by the client's failure to provide necessary materials, feedback, or approvals.

5. Intellectual Property

Upon full payment, all rights to the developed product transfer to the client, including source code and documentation. Open source components used in the project remain subject to their respective licenses. We reserve the right to use generic solutions and methods in future projects.

6. Limitation of Liability

Our liability is limited to the invoiced amount for the specific service. We are not liable for indirect losses, including loss of operations, lost profits, or data loss. The client is responsible for backing up their own systems before integration.

7. Confidentiality

Both parties commit to treating confidential information about the other party with discretion. This includes trade secrets, technical solutions, and all non-public information. The confidentiality obligation continues after the collaboration ends.

8. Project Changes

Changes to the agreed project scope are handled via change requests. All changes must be agreed in writing and may result in adjustments to price and delivery time. We will always inform about the consequences of requested changes before proceeding.

9. Disputes and Governing Law

Any disputes will be sought resolved through dialogue. If agreement cannot be reached, the matter may be brought before relevant complaint boards (see nævn.dk) or settled by Danish courts under Danish law. The court of jurisdiction is Næstved District Court.
